Responsibilities:

• Manage a portfolio of client companies and partnerships, interpret transactions to prepare board/shareholder resolutions and agreements, and update company and partnership records accordingly.
• Prepare and file documents with government agencies and regulatory bodies
• Deal with correspondence and administrative matters from attorneys, clients and external service providers relating to the assigned portfolio of companies and partnerships
• Assist with ad hoc projects as requested by Management
• Have a solid understanding of Cayman regulatory requirements
• Communicate effectively and concisely with other team members
• Maintain courteous, positive and professional manner with clients and colleagues at all times
• Be capable of working in a deadline/volume driven environment with an ability to prioritise client deliverables
• Self-motivated with the ability to work well both independently and in a team
• Demonstrate flexibility to change and the needs of the business
• Liaising with clients and regulators on regulatory, compliance and accounting issues
• Ensure adherence to proper corporate governance and compliance with all regulatory requirements, not limited to those imposed by the Regulator

Requirements:

• Seeking corporate secretarial experience at all levels, junior, mid level, senior
• Ideally be a member of a recognized Chartered Secretarial body
• If senior, will have a strong understanding of corporate finance companies and private equity funds
• Detailed knowledge of SharePoint and Viewpoint an advantage in addition to Microsoft Office programs
