Responsibilities:
- Be responsible and act as fiduciary and/or AMLCO/MLRO/DMLRO and/or Company Secretary for a portfolio of complex, cross border structured finance and investment fund entities, which may include some transactions in distress
- Provide day-to-day management of a portfolio of transactions, ensuring legal, statutory, regulatory, tax and stock exchange compliance and act as relationship manager for all relevant transaction parties
- Review, comment upon and execute transaction documentation for new and existing transactions, including drafting and arranging signature of appropriate minutes/resolutions
- On-board new entities and undertake periodic reviews and KYC checks in accordance with divisional & group policies and procedures
- Attend board and client meetings, as required
- Accurately maintain all entity records and registers in internal systems and in line with transaction, statutory and regulatory requirements
- Conduct client billing and debtors chasing
- Assist with the liquidation of legal entities
- Provide excellent customer service, coverage for and provide guidance and technical/regulatory assistance to team members
- Act as an authorized signatory of the companies Cayman legal entities
- Assist in the development of new and existing global client relationships, optimizing service offerings, productivity and profitability
- Assist with ad hoc projects
Experience required:
- A professional qualification is preferred i.e. legal, CAMS, Company Secretarial – ICSA etc.
- 5-10 years’ experience in Cayman’s fiduciary service industry and working with legal/regulatory/structured finance/investment fund entities
- Vast knowledge of onshore and offshore cross border capital markets
- Relevant and extensive experience providing fiduciary, AMLCO/MLRO/DMLRO and/or Company Secretarial services
