JOB SUMMARY:
The Corporate Secretary is responsible for performance of corporate services duties. This position calls for the highest standards of excellence in work product and personal conduct, prior experience in a similar role, understanding of and familiarity with Central Bank Ireland’s requirements and expectations in relation to regulated corporate services client entities, excellent interpersonal skills, and the ability to work well with all levels of staff.
ESSENTIAL FUNCTIONS
Corporate Administration
? Prepare corporate services documentation (including but not limited to agendas, minutes/resolutions, reports, memoranda, letters, invoices and other documents, using word processing, spreadsheet, database, and/or presentation software).
? Onboard new client business in compliance with onboarding policies and procedures.
? Organize meetings (including but not limited to Board/shareholder meetings), liaise with clients’ shareholders and assist relevant committees and Boards.
? Attend client meetings and take and record formal minutes, so as to ensure accuracy of minute discussions.
? Maintain and secure all files, statutory books and records.
? Perform all regulatory filings in compliance with relevant deadlines.
? Assist your Manager in ensuring adherence with proper corporate governance principles.
? Abide by the highest standards of professional conduct in managing confidential information and escalate issues where appropriate to your Manager.
? Contribute to and assist with Global Corporate Services Team projects and initiatives..

JOB QUALIFICATIONS
? Fluent written and spoken English is an essential requirement of this role
? Completion of Institute of Chartered Secretaries and Administrators Program and possession of qualification.
? 4 to 5 years Board experience and/or related Undergraduate degree.
? A legal or fund administration background would be an asset.
KNOWLEDGE, SKILLS & ABILITIES REQUIRED
? A sound working knowledge of all Windows applications.
? Database and data management skills are necessary
? Self-driven attitude and a strong work ethic.
? Commitment to maintenance of the highest standards of work product.
? Excellent time management, planning, organizational and prioritization skills.
? Strong communication skills, both verbal and written, and highest levels of responsiveness.
? Keen to work in a sociable and people-facing environment.
