Manage and administer a portfolio of corporate clients in compliance with internal policies and local regulatory requirements.
Coordinate corporate governance processes including preparing meeting agendas, drafting resolutions, minute-taking, and maintaining statutory records.
Ensure timely collection and payment of annual fees in accordance with applicable regulations.
Handle day-to-day compliance tasks such as document preparation and regulatory filings (e.g., with ROC, BMA, and BSX).
Maintain accurate registers of members, directors, officers, and company minute books.
Record daily time entries for accurate client billing.
Collaborate with internal teams and external advisors (e.g., legal, tax, accounting, banks) to ensure service delivery.
Meet client and regulatory deadlines while identifying process improvement opportunities.
Support additional administrative tasks and take on responsibilities as assigned by management.
Minimum of 3 years’ experience in a similar corporate administration role within a corporate services or professional services environment.
Demonstrated ability to manage client relationships and company portfolios, including experience with board governance and minute-taking.
Strong knowledge of the Bermuda Companies Act 1981 and related regulatory frameworks.
Professional qualifications (ICSA/STEP) or willingness to pursue them; ICSA Certificates in Corporate Procedures I & II are a plus.
Excellent communication, organization, and time management skills.
Ability to work independently and collaboratively within a team.
Proficiency in Microsoft Word and Excel; experience with ViewPoint is an asset.
